TERMS OF SERVICE (PUBLIC OFFER)
for the conclusion of an agreement for the provision of services using the Klikk AI platform
Chelyabinsk Version dated October 3, 2026
Business Robotics LLC (Obshchestvo s ogranichennoy otvetstvennostyu «Biznes Robotiks»; OGRN 1151690101958, INN 1655343152) (the “Contractor”) offers to conclude an agreement for the provision of services (the “Agreement”) on the terms of this public offer (the “Offer”).
1. GENERAL PROVISIONS
1.1. The Offer is a public offer in accordance with clause 2 of Article 437 of the Civil Code of the Russian Federation (the “Civil Code”) and is published on the website https://klikkai.ru.
1.2. Acceptance of the Offer is the registration of an Account with ticking the box confirming acceptance of the terms of the Offer. From the moment of acceptance, the Agreement is deemed concluded in writing (clause 3 of Article 434, clause 3 of Article 438 of the Civil Code). Payment for a Subscription or a Balance Top-up means the User’s agreement with the prices, Plan terms and Price List in effect on the date of payment.
1.3. The Offer may be accepted by an individual who has reached 18 years of age, as well as by a legal entity or an individual entrepreneur acting through an authorized representative. By ticking the box accepting the Offer, an individual confirms that they have reached 18 years of age.
1.4. A User who has specified the details of a legal entity or an individual entrepreneur in the Account is a Business User. Any other User is a Consumer. Section 11 of the Offer applies only to Consumers, Section 12 only to Business Users; in the event of a conflict with other sections of the Offer, they prevail.
1.5. Individual terms, including those regarding the volume of Credits, integrations and service level, are provided under a separate agreement. If a separate agreement has been concluded between the Contractor and the User, the Offer does not apply to their relationship.
1.6. Users’ personal data is processed in accordance with the Personal Data Processing Policy published on the Website and on the basis of the User’s separate consent. The Policy and the consent are not part of the Agreement.
2. DEFINITIONS
2.1. The following terms are used in the Offer:
- Website — the website https://klikkai.ru and its subdomains.
- Platform — the Klikk AI software system available on the Website and intended for creating materials using AI Models and publishing them in Channels.
- Account — the User’s account on the Platform.

- Provider — a person providing the Contractor with access to an AI Model, including through an aggregator service.
- Generation — the creation of text, an image, video, audio or other material at the User’s request using an AI Model.
- Materials — requests (prompts), files, links, settings and other information that the User enters into or uploads to the Platform.
- Result — material obtained as a result of Generation.

- Subscription — a Plan paid for a Billing Period.
- Billing Period — one month, counted from the date of payment for the Subscription.

- Balance Top-up — the purchase of Credits not tied to a Billing Period.
- Gift Credits — Credits granted by the Contractor free of charge.
- Price List — the list published on the Website of the number of Credits charged for each type of Generation and other actions on the Platform.
3. SUBJECT OF THE AGREEMENT
3.1. The Contractor provides the User with services granting access to the functionality of the Platform (the “Services”), and the User pays for the Services if they are provided on a paid basis. The Services include:
- Generation;
- scheduling and automatic publishing of materials in Channels;
- providing reach statistics of publications;
- storing Results in the Account;
- access to the Platform via API, if provided for by the Plan.
3.2. The scope of the Services and the limits are determined by the Plan. The Services are provided around the clock, subject to clause 9.4 of the Offer.
3.3. The Contractor provides the Services in its own name and engages Providers independently. The Contractor is not an agent, commission agent or attorney of the User or the Providers, does not enter into transactions on behalf of or in the interests of the User and does not accept payments in favor of third parties.
3.4. The list of available AI Models and platforms for connecting Channels is determined by the Contractor and may change due to changes in the terms of Providers and platforms. The Contractor ensures the availability of the Plan functions, but not of a particular AI Model or platform.
4. ACCOUNT
4.1. An Account is registered using an email address or via the Yandex ID or Telegram authorization services. The User provides accurate information.
4.2. Actions performed using the Account, including via the Platform API key, are deemed to have been performed by the User. The User ensures the confidentiality of the means of access to the Account and immediately notifies the Contractor of any unauthorized access.
4.3. A Business User may grant access to the Account to its employees and other persons within the number of seats provided for by the Plan. Such persons register independently, and the Business User is responsible for their actions as for its own.
4.4. Gift Credits are granted to one person once. If several Accounts are registered to obtain them repeatedly, the Contractor may cancel the Gift Credits.
4.5. If there are reasonable doubts that the User has reached 18 years of age, the Contractor may suspend access to the Account and request confirmation of age. If the Account has been registered by a minor, the Contractor blocks the Account and, upon the application of the legal representative, refunds the cost of unused paid Credits in the manner provided for by clauses 11.2 and 11.3 of the Offer.
4.6. The User may delete the Account in the Platform interface or by sending a request to the Contractor. Deletion of the Account means the User’s withdrawal from the Agreement.
5. PLANS, CREDITS AND PAYMENT
5.1. The Plans, the price of one Credit for a Balance Top-up and the Price List are published on the Website page https://klikkai.ru/#pricing. Prices are stated in rubles. The price of one Subscription Credit is determined by dividing the price of the Plan by the number of its Credits; bonus Credits specified in the Plan description are included in the number of its Credits. The Contractor keeps previous versions of the Plans and the Price List and provides them at the User’s request.
5.2. The Contractor may provide free access to the Platform and grant Gift Credits within the limits and in the amounts specified on the Website.
5.3. A Subscription is a subscription agreement (Article 429.4 of the Civil Code): the subscription fee is paid for the Billing Period and grants the right to receive the Services within the scope of the Plan’s functions and Credits. Subscription Credits are credited at the beginning of the Billing Period and are valid until its end; unused Subscription Credits are not carried over to the next Billing Period. If a new Subscription is paid before the end of the current Billing Period, the Credits of each Subscription are valid during its Billing Period.
5.4. A Balance Top-up is possible at any time. Balance Top-up Credits are valid until the termination of the Agreement, regardless of whether there is a Subscription.
5.5. Credits are charged in the following order: Subscription Credits, starting with the Subscription whose Billing Period expires first, then Gift Credits, then Balance Top-up Credits in the order of their purchase. Before starting a Generation or another paid action, the Platform displays the number of Credits that will be charged.
5.6. If a Generation or publication is not performed for technical reasons, or the request is rejected by the Platform or a Provider, Credits are not charged, and charged Credits are returned to the Account balance. A Result not meeting the User’s expectations is not a ground for returning Credits.
5.7. The Contractor may change the Plans and the Price List by publishing a new version on the Website at least 5 calendar days before the changes take effect. A change in the price of a Plan applies to Subscriptions paid after the changes take effect.
5.8. The Services are paid for in advance in the amount of 100%. Payment is made by bank card and other methods available in the YooKassa service, via the Faster Payments System using a QR code, and, by a Business User, also by bank transfer against an invoice generated on the Platform. The payment obligation is deemed fulfilled from the moment the Contractor receives confirmation of payment from the payment service operator or the funds are credited to the Contractor’s settlement account.
5.9. When paying for a Subscription by bank card, the User may give separate consent to the automatic debiting of the subscription fee for subsequent Billing Periods (auto-renewal). The Contractor notifies the User of the upcoming debit by email no later than 3 calendar days before the debit date, specifying the amount and the way to disable auto-renewal. The User may at any time disable auto-renewal, delete the bank card details in the Account or send a refusal to use them to the Contractor’s email; after that, the Contractor does not use such details for debits (clause 4.2 of Article 16.1 of the Law of the Russian Federation “On Consumer Rights Protection”).
5.10. VAT is not charged because the Contractor applies the automated simplified taxation system. The fiscal receipt is sent to the User in electronic form.
5.11. An invoice generated on the Platform is valid for 5 banking days. Payment by a legal entity or an individual entrepreneur of an invoice generated for an Account constitutes acceptance of the Offer by that person; from the moment of payment, the payer becomes the party to the Agreement in respect of the Account.
6. CHANNELS AND PUBLISHING
6.1. The User connects Channels in the manner provided by the Platform for the respective platform: via authorization on the platform, using a bot token or an API key, or by entering a login and password.
6.2. The User warrants that it is entitled to manage the Channel and to grant the Contractor access to it, and that connecting the Channel and automated publishing do not violate the platform’s rules. The risk of the Channel being restricted, blocked or deleted by the platform in connection with the use of the Platform is borne by the User.
6.3. The Contractor uses Credentials only to publish materials on the User’s instructions and to obtain reach statistics, stores them in encrypted form and deletes them when the Channel is disconnected or the Account is deleted.
6.4. If Credentials are suspected of being compromised, the User immediately changes them on the platform and disconnects the Channel.
6.5. Publishing is performed in accordance with the User’s settings. Reach statistics are provided according to the platform’s data. The Contractor is not responsible for the delay, rejection, modification or deletion of publications by the platform, for changes in the rules and programming interfaces of platforms, or for restriction of access to a platform or a Provider by decision of public authorities.
7. CONTENT OF MATERIALS AND PUBLICATIONS
7.1. The content of the Materials and publications, the choice of Channels and the publishing schedule are determined by the User, including through the settings of automatic Generation and publishing. The User is responsible for publishing Results in Channels, including without prior review when auto-publishing is enabled.
7.2. With respect to publications that constitute advertising, the User is the advertiser and the advertising distributor. The User independently complies with the requirements of Federal Law No. 38-FZ “On Advertising” of March 13, 2006, including those on labeling and recording of online advertising (Article 18.1) and on the inadmissibility of distributing advertising on the information resources specified in Part 10.7 of Article 5 of that law. The Contractor is not an advertising producer or an advertising distributor.
7.3. The User may not use the Platform to create and distribute:
- extremist and terrorist materials;
- pornographic materials, as well as materials of a sexual nature involving or depicting minors;
- images, video and audio recordings reproducing the appearance or voice of a real person without their consent;
- false socially significant information presented as reliable reports;
- election campaigning and campaigning on referendum issues;
- materials infringing intellectual property rights, the right to one’s image, honor, dignity, business reputation or privacy;
- spam, phishing and fraudulent materials;
- any other information the distribution of which is prohibited in the Russian Federation.
7.4. The User includes personal data of third parties in the Materials only if there is a lawful basis for their processing and transfer to the Contractor and Providers, including outside the Russian Federation.
7.5. The Contractor may refuse to perform a Generation or publication that violates clause 7.3 of the Offer, including using automatic filters.
7.6. The User compensates the Contractor for losses, including amounts of fines and compensation paid by the Contractor as a result of the User’s violation of Sections 6 and 7 of the Offer.
8. INTELLECTUAL PROPERTY AND RESULTS
8.1. The exclusive right to the Platform belongs to the Contractor. The Agreement does not grant the User any rights to the Platform beyond the right to use its functionality within the Services. The User may not copy, modify or decompile the Platform, circumvent its technical restrictions, access the Platform in an automated manner other than via the API, or grant access to the Account to third parties beyond the seats of the Plan.
8.2. Clauses 8.3–8.5 of the Offer constitute a notice to the User in accordance with Part 1 of Article 10 of Federal Law No. 243-FZ “On Supporting the Development of Artificial Intelligence Technologies in the Russian Federation” of July 26, 2026 (the “AI Law”).
8.3. The Contractor does not claim any rights to the Results. If intellectual property rights arise in respect of a Result, they belong to the User; rights that may arise with the Contractor by virtue of law pass to the User at the moment they arise, and the remuneration for their alienation is included in the price of the Services. The User may use the Results in any manner not prohibited by law, including for commercial purposes, without paying remuneration to the Contractor, without limitation of term and territory.
8.4. The Contractor does not guarantee that a Result is a protected work, is unique, does not coincide with the results of other users, contains no errors or does not infringe the rights of third parties. The User checks a Result before using it.
8.5. Results are available to the User in the Account for viewing and downloading during the term of the Agreement and are destroyed when the Account is deleted. The User keeps copies of the Results independently. Results created with free access may contain a watermark.
8.6. For the term of the Agreement, the User grants the Contractor the right to use the Materials to the extent necessary to provide the Services, including transferring them to Providers and publishing them in Channels on the User’s instructions. The Contractor transfers the Materials to Providers only to perform Generation and does not use the Materials and Results to train AI Models.
8.7. The Platform enables the User to place an informational notice about the use of artificial intelligence technologies in audio and visual Results. The format, content and procedure for placing the notice are determined by the Platform settings, which constitute an agreement of the Parties in accordance with Part 2 of Article 9 of the AI Law. The decision to place the notice is made by the User, unless the obligation to place it is established by law or the platform’s rules.
9. LIABILITY
9.1. The Parties are liable in accordance with the legislation of the Russian Federation, subject to Sections 11 and 12 of the Offer.
9.2. The Contractor is not liable for the consequences of using Results and publishing them, or for losses resulting from the compromise of Credentials or means of access to the Account that occurred through no fault of the Contractor.
9.3. The Parties are released from liability in the event of force majeure (clause 3 of Article 401 of the Civil Code), including when public authorities adopt decisions preventing the performance of the Agreement. The Party affected by such circumstances notifies the other Party within 5 business days.
9.4. The Contractor may suspend the operation of the Platform for maintenance, notifying Users in advance where possible and carrying out the work at night Moscow time.
10. TERM, AMENDMENT AND TERMINATION OF THE AGREEMENT
10.1. The Agreement is valid indefinitely.
10.2. The User may withdraw from the Agreement at any time by deleting the Account or sending a notice to the Contractor. Settlements upon withdrawal are made in accordance with Sections 11 and 12 of the Offer.
10.3. If the User violates Sections 6–8 of the Offer, as well as at the request of an authorized public authority, the Contractor may suspend Generation, publishing and access to the Account until the violation is remedied, notifying the User.
10.4. The Contractor may amend the Offer by publishing a new version on the Website and notifying Users by email at least 10 calendar days before it takes effect. A User who does not agree with the amendments may withdraw from the Agreement before they take effect. Use of the Platform after the amendments take effect means agreement with them.
10.5. Upon termination of the Agreement, the Credentials, Materials and Results are destroyed, except for information that must be retained by law.
11. SPECIAL PROVISIONS FOR CONSUMERS
11.1. Relations with Consumers are governed by Law of the Russian Federation No. 2300-1 “On Consumer Rights Protection” of February 7, 1992 (the “Consumer Protection Law”).
11.2. A Consumer may withdraw from the Agreement at any time (Article 32 of the Consumer Protection Law). Upon withdrawal, the Contractor refunds the part of the subscription fee attributable to the unused Subscription Credits of the current Billing Period and the cost of unused Balance Top-up Credits. The refund amount is determined based on the price of one Credit of the respective Subscription or Balance Top-up (clause 5.1 of the Offer). Gift Credits are not refundable and are not subject to monetary compensation.
11.3. A refund is made within 10 calendar days from the date of receipt of the request, by the same method by which the payment was made, unless another method is agreed with the Consumer.
11.4. A change in the Price List does not apply to Credits paid for by the Consumer before the changes take effect: such Credits are charged according to the Price List in effect on the date of their payment. Changes to the Offer and the Plans that worsen the Consumer’s position apply to them starting from the next payment.
11.5. A Consumer may send a claim to the Contractor’s email or postal address; the Contractor considers the claim within 10 calendar days from the date of its receipt. Disputes are considered by a court in accordance with the jurisdiction rules established by Article 17 of the Consumer Protection Law.
12. SPECIAL PROVISIONS FOR BUSINESS USERS
12.1. A person who specifies the details of a legal entity or an individual entrepreneur in the Account confirms their authority to act on its behalf.
12.2. If a Business User withdraws from the Agreement, the amounts paid are not refunded: the cost of unused Credits is recognized as a fee for withdrawal from the Agreement (clause 3 of Article 310 of the Civil Code). If the Agreement is terminated due to the Contractor’s breach of its obligations or due to the Contractor’s withdrawal with 30 calendar days’ notice (clause 12.3 of the Offer), the Contractor refunds the cost of unused Subscription and Balance Top-up Credits determined in accordance with clause 5.1 of the Offer.
12.3. The Contractor may withdraw from the Agreement by notifying the Business User at least 30 calendar days in advance. In the event of a repeated or gross violation by the Business User of Sections 6–8 of the Offer, the Contractor may withdraw from the Agreement from the moment the notice is sent; in this case, the cost of unused Credits is retained by the Contractor as a penalty.
12.4. The Contractor’s liability is limited to actual damage in an amount not exceeding the amount paid by the Business User for the Services during the 3 months preceding the breach. The limitation does not apply to an intentional breach (clause 4 of Article 401 of the Civil Code).
12.5. At the Business User’s request, the Contractor draws up a monthly statement of the Services rendered and sends it via the electronic document management system or by email. The Services are deemed accepted if reasoned objections are not sent within 5 business days from the date of receipt of the statement.
12.6. If a Business User includes personal data of third parties in the Materials, it, as the operator, instructs the Contractor to process such data in accordance with Part 3 of Article 6 of Federal Law No. 152-FZ “On Personal Data” of July 27, 2006 (the “Personal Data Law”) on the following terms:
- purposes of processing — Generation, storage of Results and publishing in Channels on the Business User’s instructions;
- personal data — information about third parties included by the Business User in the Materials;
- actions — collection, recording, systematization, storage, use, transfer (provision) to Providers and Channel platforms, including cross-border transfer, deletion, destruction;

- the Contractor notifies the Business User of the cases specified in Part 3.1 of Article 21 of the Personal Data Law within 24 hours of their discovery and, at the Business User’s request during the term of the instruction, provides information on the measures taken to protect personal data.
The Business User ensures that there are legal grounds for the processing and cross-border transfer of such personal data and performs the obligations of an operator, including notifying the authorized body for the protection of the rights of personal data subjects.
